iwanted to address all of you on the news weve just announced. the board of directors and i have agreed to initiate a succession process for the ceo role of yahoo! roy bostock, our chairman of the board, is leading the effort to identify and assess potential candidates for consideration by the full board. the board will be evaluating and considering both internal and external candidates and has retained heidrick and struggles to help in this effort.
i will be participating in the search for my successor, and i will continue the ceo until the board selects a new ceo. once a successor is named, i will return to my previous role as chief yahoo and continue to serve as director on the board.
last june, i accepted the boards request that i assume the ceo role to restructure and reposition the company as a whole in order to effectively meet the fast -changing needs of both users and partners. since taking on the ceo role, i had an ongoing dialogue with the board about succession timing. thanks in large measure to your tireless efforts, we have created a more open, competitive yahoo! and we believe the time is now right to transition to a new ceo who can take the company to the next level.
despite the external environment we face, the fact remains that yahoo! is now a significantly different company that is
1.履行經營承包合同；
2.賠償違約造成的經濟損失，經營承包合同糾紛起訴狀民事訴訟文書。
1987年1月，雙方經過協商同意簽定一份經營承包合同，發(fā)包方為××省××公司法人代表劉經理；承包人是公司職工靳××；承包期限規(guī)定從1987年1月至1990年1月。根據合同第六條經營自主權規(guī)定：包括業(yè)務經營權，財務管理權，勞動工資獎金分配權等。自合同生效后，月月有盈利，全體從業(yè)人員在獎金方面比過去得到了實惠。
但在本年10月，發(fā)包方以商店內有四名職工檢舉揭發(fā)承包人有經濟和違反政策等問題，列舉了我四條罪狀，作出片面的處理決定，他們撕毀合同，解除我的承包人職務。對此，我申訴到上級省主管公司，未能合理解決，特依法提起訴訟。
首先，我對發(fā)包方對我作出的所謂四項經濟問題和違反政策罪狀的實際情況作以說明，供法庭查證參考，以便作出公正的裁判。
發(fā)包方處理的第一個問題是：“我用現金在商店套換轉帳支票給個體戶購買原料，給國家造成稅收損失元”；
這一問題的實際情況是：我們承包合同第二條承包范圍中（5）公司提供流動資金人民幣叁萬元（其中包括庫存貨物）。以此微薄地資金是不可能開展扭虧為盈的承包局面的，況且?guī)齑尕浳镏挥匈u出后才能變成流動資金，如果減去貨物價值，資金更少了。因此，我憑個人往來，從針織品個體戶魯××處借現金七萬元，兩個月后全部還清。我借入現金存入銀行，有帳可據，但從銀行再提出七萬元現金還債是不可能的，因而只能用支票去還債。這有什么不對？我因公借款，以支票還債，這對稅收有何損害？如有稅務問題，為什么稅務機關一直沒來查處？因此，發(fā)包方說我以現金套換支票，這是得了便宜還罵人的不義之說，我不能接受。
第二個問題是：“代銷商品不入庫、不走帳，商品售出撕毀小票，范文《經營承包合同糾紛起訴狀民事訴訟文書》。進銷差款不入帳，并隨意支出，違反了國家財經管理制度，影響了承包人、商店、及公司的利益?！?/p>
這個問題是帶有歷史性的，實際是：掌管這一代銷業(yè)務的負責人是上任就負責此項工作的副經理王××。此人是前一任的副經理，我承包后原職不變。代銷貨進銷差額保留在所謂“小金庫”的事，都由王××專管，不是不入帳，也不是隨意支出。這種“小金庫”的收支直接和職工福利掛勾，是從我的前任到我經手一直由這個副經理王××專管。但在他檢舉了我之前，我問過他存多少錢？他說四、五百元。當他檢舉我之后，又說把錢給我了。向他要帳，說燒了。從這個經過看來，這個不光彩的“小金庫”不是從我做起，更不是由我專管。這是沿襲下來的弊病。王××是沿續(xù)管理的人負責，請法庭詳查。
第三個問題，說我虛報考勤套取工資，絕無此事。有考勤表可查，更有考勤員薛××可證，這個問題是強加于我的陷害。
第四個問題，說我用人不當，給商店人員思想造成混亂。這個問題才是主要的關鍵所在。自我承包后，經濟搞活了，收支有盈余，職工資金增多，以王××為首的人既羨慕又嫉妒，這才出現排擠我的苗頭。就在這承包的一年中，揭發(fā)檢舉我的四個人有三個人因犯錯誤被我調換了工作。
①劉××是收款員、承包后出問題，被我撤換了，其問題我已向公司作了匯報，調為營業(yè)員；
②閻××是營業(yè)員，因出問題被我調做收款員；
③劉×是出納員，她是發(fā)包人劉×經理的妹妹，也因事故我準備調換工作，和她談過就是這三個人加上上屆的副經理王××，共同出頭，向公司檢舉我，引起這個中途撕毀合同的事件發(fā)生。
對此，我認為發(fā)包方和上級主管公司，沒有深入調查研究，主觀作出決定是不對的。
當前在城市企業(yè)改革中，許多企業(yè)建立各種形式的經濟責任制，訂立生產經營承包合同，這是經濟體制改革的新事物。它與經濟合同有頗多相似之處。因此，《經濟合同法》應當是調整這類經濟關系，解決承包合同糾紛的主要依據。為此，請求法庭依照經濟合同法的違約規(guī)定給予公平處理，是所至盼。
